1. Acceptance of terms
These terms and conditions reflect applicable requirements of both the European Union and United Kingdom law. These legal terms (English law applies, and disputes will be settled by English courts) are between You and Scadip Limited (Scadip/us/we) and you agree to them by using Scadip Website and/or any Scadip API.
In order to register with Scadip as a Subscriber, you must accept these Terms and Conditions as part of the registration process. The Website and the APIs are together referred to as Scadip in these Terms.
The following terminology applies to these Terms and Conditions, Privacy Statement and API Policy and any or all Agreements:
User: “User” or “You” or “Your” or “Subscriber” refers to you, as a user of the Scadip Website or/and any Scadip API.
API: “API” or “Scadip API” means an application programming interface for the service through which a User can obtain access to Data applicable to such an application programming interface.
Data: “Content” means the data that is obtained by us from other sources delivered to you via any Scadip API.
Subscription Plan: means all the subscription plan selected by the User in connection with the purchase of the use of the APIs.
Stripe: Online payment processing platform.
3. Information about us

If you have any comments or complaints regarding our services, please email us. In the event you are unable to access the API, please contact with us by emailing at email@example.com.
4. Service being offered by Scadip
We will provide You access to the Scadip APIs and related website (scadip.com or other web addresses located under Scadip.com domain for the purposes of requesting and receiving Data under the related fee-based Subscription Plan and during the applicable subscription periods and limits.
To get access the APIs You must register in Scadip (as a Subscriber) by creating an account or using your existing Github or Google account. You must complete all of the required fields as part of the registration process and confirm to us that any information provided to us is complete, accurate and not misleading.
You are responsible for the acts and omissions of any third parties who use your user identification code or password to access your Subscriber account and API, whether fraudulent or not, and you agree to reimburse us on demand for any loss we may suffer because of such use.
We may request your payment card details if You subscribe to any of our Subscription Plan that has associated fee. We use Stripe to manage all our payments. Your Subscription with Scadip will be on-going unless ended in accordance with these Terms and Conditions.
If you require the use of the API in relation to different APIs, you must set up a separate Subscription plan under the same user account. We use reasonable efforts to ensure that Data is accurate and reasonably up-to-date. However, User acknowledges that Data collection is subject to a human or technical error and its availability may be delayed for a variety of technical and operational reasons, some of which are outside of the Scadip’s control, and that we shall not be liable for any such errors or delays other than to correct within a reasonable time period any errors which are reported to us by User in writing.
Scadip appointing Amazon Web Services (AWS) for cloud hosting services. We are not responsible for the absence of data due to the downtime of the servers.
We may issue a refund of the subscribed month due to loss of service, at our discretion.
You acknowledge and agree that the form and nature of the services which we provide, may require effecting changes in it, therefore, we reserve the right to suspend/cancel, or discontinue any or all services at any time, make modifications and alterations in any or all of its contents and services contained on the Website without any prior notice.
5. Fees and Cancellation
By agreeing to the Terms and Conditions, Subscriber is obligated to pay for the access and use of our service regardless of whether the service is utilized, integrated or otherwise.
You will pay to us fees in connection with the Subscription Plan selected by You to use any of our APIs. The charges are payable at the intervals set out on the Website and will be paid via Stripe (our chosen payment processor) using the payment card details provided by the Subscriber. We do not store any payment card details.
Subscription fees include UK taxes.
We reserve the right to suspend the provision of the services if charges are not paid when due.
You can cancel your Subscription Plan at any time you want and we will not charge you for the following billing cycle. In case of cancellation, the paid amount cannot be refunded, and the cancellation is due only at the end of the paid month.
We may cancel all your Subscriptions immediately if we believe you’ve:
* broken the terms of this agreement
* put us in a position where we might break the law
* broken the law or attempted to break the law
6. Prohibited uses of Scadip
You may not use Scadip:
in any way that breaches any applicable local, national or international law or regulation;
in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
7. Copyright notice
Copyright and other relevant intellectual property rights exist on all text relating to the Scadip’s services and the full content of this website.
You buy access to the APIs and therefore the right to request for data, which is available in the public domain, through a structured service.
You pay for access to the service, not for data ownership.
You are responsible to make sure that is not making any copyright infringement in your application. according to your country’s laws.
8. Limitation of our liability
Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law. In relation to the use of Scadip including the receipt of the Services by the Subscriber: to the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to Scadip including the Services, whether express or implied. We give no warranty or guarantee that the Services will meet the Subscriber’s needs, or that the receipt of the Services will benefit, or be suitable for, the Subscriber in any way; and we will not be liable for any loss or damage whatsoever, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with the following:
* loss of profits, sales, business or revenue;
* loss of agreements or contracts;
* business interruption;
* loss of anticipated savings;
* loss of business opportunity, goodwill or reputation;
* loss of use or corruption of software, data or information; or
* any indirect or consequential loss or damage.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of Scadip.
9. Warranty Disclaimer
SCADIP MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO THE SCADIP SITE, THE API AND SCADIP EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO SCADIP, THE SCADIP SITE, THE API, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. SCADIP DOES NOT WARRANT THAT USE OF THE API WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Changes to the terms
This Terms and Conditions will always be available in on our website. We amend or change or update these Terms and Conditions for any reason, from time to time entirely at its own discretion. You shall be responsible for checking Terms from time to time and ensure continued compliance with these Terms.
